If you are seeking legal counsel in this area, please read and review this page in its entirety.
I am an experienced business attorney and contracts draftsman specializing in plain English. I can help you to understand the jargon of any legal document and put it into simpler language. I also give sensible and pragmatic advice on the protections and agreements that you need, whether for employment, independent contractor, business or commercial transactions.
Employment contracts contain the specific terms and conditions of the employment relationship, such as particular duties and responsibilities, pay and length of employment. Employment agreements may contain promises or terms with regards to a fixed period of employment, provide for termination based upon "good cause" or "just cause," or upon notice of termination, and/or minimum severance pay. Formal written employment agreements that guarantee employment for a specific period of time are rare, given the employment-at-will rule New York. However they are usual in certain competitive markets where employers are competing for skilled talent. Executives, top sales and marketing people, as well as experts in certain fields often have employment agreements that specify a term , providing greater certainty to both parties.

Additionally, to retain valued employees and to prevent the loss of business, employers increasingly use restrictive covenants, such as non-competition, non-solicitation, and non-disclosure clauses, on employees who have access to confidential, proprietary or insider information. An attorney should guide the client through the key issues of such clauses to ensure that they are appropriate and enforceable, and that a court will not simply dismiss them.
Oral agreements or promises, although difficult to prove, may sometimes be binding. Certain terms of employment may also be implied by an employer's conduct, policies and practices. In some cases, in the interests of justice, courts may enforce promises where an employee reasonably acts and detrimentally relies on assurances or promises by an employer. Whether promises, assurances, terms and clauses of any form of employment agreement are legally enforceable depends on the facts and circumstances of the particular case. Therefore, do not automatically assume that you have no enforceable agreement with your employer; even when it has not been committed to writing, especially if others heard the statements. If your employer breaks a term in a legally enforceable agreement, you may have the right to sue your employer for economic damages you sustained as a result of the breach. In entering into an employment situation, a qualified attorney will almost always be able to advise on critical issues and sometimes negotiate better terms of an agreement. An attorney can make a critical difference in drafting the terms and language of the agreement. An attorney can review your employment contract and assure you that the language fully, accurately and clearly sets forth the essential terms of your arrangement with the employer.

If you are presented with an employment contract and need an attorney to review it, I would be pleased to meet and discuss your interests and concerns with you. I am a counselor at law practicing in New York for more than fifteen years. I provide an initial free consultation, usually by telephone. Our conversation will be confidential and any matter that I take up will be handled discreetly. My legal fees for representation are fair and reasonable, and you will learn about them as part of that consultation. In drafting or reviewing documents I often offer flat fees, depending on the matter.
My practice is based in Manhattan, though I handle clients in the other city boroughs, Westchester and Long Island. Any matter that I take up will be handled discreetly. My legal fees for representation are fair and reasonable, though not cheap, and you will learn about them as part of our initial conversation by telephone. I offer flat fees in many, but not all, matters. I will consider offers of alternative compensation, or barter, if appropriate.

If I do not answer your telephone call directly, please leave a short explanatory message that you are seeking legal counsel, provide a contact telephone number and then I will return your call as soon as possible. Meetings can be arranged at a location in Manhattan convenient for you, if you prefer.
Alternatively, if you are not comfortable in seeking legal counsel through Craigslist then you should consider contacting the appropriate local Bar Association. Either without cost or for a small fee, they provide the names of attorneys that the Bar has reviewed and vetted in particular areas of specialty to ensure that they have knowledge and experience to meet your needs.
